Item 8.01. Other Events.
On December 8, 2016, Ford Motor Company (the “Company”) issued and sold $1,500,000,000 aggregate principal amount of 4.346% Notes due December 8, 2026 (the “2026 Notes”) and $1,300,000,000 aggregate principal amount of 5.291% Notes due December 8, 2046 (the “2046 Notes” and, together with the 2026 Notes, the “Notes”), pursuant to the Company’s effective registration statement on Form S-3 (Registration Statement No. 333-194060) previously filed with the Securities and Exchange Commission (the “Registration Statement”). A copy of the opinion of Corey M. MacGillivray, counsel to the Company, relating to the legality of the Notes is filed as Exhibit 5 to this Report.
The Company incorporates by reference the exhibits filed herewith into the Registration Statement pursuant to which the Notes were registered.
