ITEM 7.01 REGULATION FD DISCLOSURE

 

As previously disclosed, on December 1, 2016, a wholly-owned subsidiary of Information Services Group, Inc. (“ISG” or the “Company”) executed an Agreement and Plan of Merger (the “Merger Agreement”), by and among Alsbridge Holdings, Inc., a Delaware corporation (“Alsbridge”), ISG Information Services Group Americas, Inc., a Texas corporation (“Parent”), Gala Acquisition Sub, Inc., a Delaware corporation and wholly-owned subsidiary of Parent (“Acquisition Sub”), and LLR Equity Partners III, L.P., solely in its capacity as representative of the equityholders of Alsbridge, pursuant to which Acquisition Sub merged with and into Alsbridge with Alsbridge becoming an indirect wholly-owned subsidiary of ISG (the “Merger”).  On December 2, 2016, representatives of Information Services Group, Inc. (“ISG” or the “Company”) and Alsbridge Holdings, Inc. (“Alsbridge”) held a teleconference which was webcast to discuss the transaction. The Company is furnishing the slide presentation, which it used on the teleconference and webcast, and which it may use from time to time in presentations related to the transaction.  The slides are “furnished” pursuant to Item 7.01 of the Current Report on Form 8-K and shall not be deemed to be “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that Section, unless the registrant specifically incorporates them by reference in a document filed under the Securities Act of 1933, as amended, or the Exchange Act.  By filing this Current Report and furnishing this information, the registrant makes no admission as to the materiality of the information included in the slides.
