Item 8.01 Other Events

On November 29, 2016, Booz Allen Hamilton Holding Corporation (the “Company”) announced that it has entered into an agreement to acquire the Laurel, MD-based digital services firm eGov Holdings, Inc. (d/b/a Aquilent), a premiere architect of .gov solutions for the Federal government, for a purchase price of $250 million, subject to customary purchase price adjustments and subject to customary escrows. Upon closing of the transaction, eGov Holdings, Inc. will be a wholly-owned subsidiary of the Company. The transaction is expected to close by December 31, 2016 and is subject to customary closing conditions.
