Departure of Directors of Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

In connection with a corporate evaluation of roles of executive officers of EnPro Industries, Inc. (the “Company”) going forward, on November 16, 2016, Kenneth D. Walker, the Company’s Senior Vice President and Chief Operating Officer, formally notified the Company of his decision to resign as an officer and employee of the Company. The Company and Mr. Walker anticipate that he will remain as an employee of the Company for a period to be agreed upon, and as a consultant for a period thereafter, to assist with the transition of his responsibilities, as the Company will be eliminating the position of Chief Operating Officer following Mr. Walker’s departure. The Company and Mr. Walker have not yet finalized the terms of an agreement to address this transition or his departure.
