Item 5.07.  Submission of Matters to a Vote of Security Holders.

On November 21, 2016, at 8:30 a.m., NetREIT, Inc. (the “Company”) called to order a special meeting of stockholders (the “Special Meeting”).    

A quorum was not reached at the Special Meeting, with 16,748,800.15 shares of the Company’s common stock, par value $.01 per share (the “Common Stock”), present or in person or by proxy at the meeting, representing only 19.49% of the issued and outstanding shares of the Company’s Common Stock as of the September 23, 2016 record date. Accordingly, the Special Meeting was not duly convened nor adjourned to a later date.
