Introductory Note

This Amendment to Current Report on Form 8-K amends the Current Report on Form 8-K filed on November 2, 2016, by Compass Minerals International, Inc. (the “Company”), which disclosed the appointment of John D. Craft as the Company’s Interim Chief Executive Officer. The Company is filing this Amendment in order to disclose Mr. Craft’s compensation as Interim Chief Financial Officer, which was determined on November 7, 2016.

Item 5.02.     Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

In connection with his appointment as Interim Chief Financial Officer, effective November 2, 2016, Mr. Craft’s annual base salary will be $351,426. In addition, Mr. Craft’s targeted cash bonus under the Company’s management annual incentive program will be calculated at 50% of his base salary beginning November 2, 2016, with any bonus payments dependent on the Company’s pre-established performance goals and personal performance objectives. This base salary and targeted cash bonus will be effective until a permanent Chief Financial Officer is selected.
