Item 8.01 Other Events
On November 10, 2016, TEGNA Inc. (the “Company”) issued a press release announcing that its board of directors has approved the re-activation of share repurchases under the Company’s share buyback program. The timing and amount of any share repurchases will depend on, among other things, market conditions, the status of the review by the Securities and Exchange Commission of the Cars.com registration statement filed in connection with the proposed spin-off of Cars.com and applicable legal requirements.
A copy of the press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
