Explanatory Note
This Form 8-K/A is being filed as an amendment (“Amendment No. 1”) to the Current Report on Form 8-K filed by Valvoline Inc. (“Valvoline”) on November 8, 2016 (the “11/8 Current Report”) to announce Valvoline’s preliminary fourth quarter results for fiscal 2016. The purpose of this Amendment No. 1 is to update the section entitled “Fiscal 2017 Outlook” and include certain financial tables that were inadvertently omitted from the news release attached to the 11/8 Current Report as Exhibit 99.1. Attached to this Amendment No. 1 as Exhibit 99.1 is a copy of the news release that includes the updated outlook and omitted financial tables. No other information has been revised.

On November 8, 2016, Valvoline Inc. (“Valvoline”) announced preliminary fourth quarter results for fiscal 2016, which are discussed in more detail in the news release (the “News Release”) attached to this Current Report on Form 8-K (“Form 8-K”) as Exhibit 99.1, which is incorporated by reference into this Item 2.02.
