Item 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.
On November 9, 2016, consistent with its past practice, SCANA entered into an indemnification agreements with Mr. Gregory E. Aliff and Mrs. Sharon A. Decker in connection with their election as directors.
The indemnification agreements generally provide that SCANA will indemnify the covered person for claims arising in such person's capacity as a director, officer, employee or other agent of SCANA or its subsidiaries, provided that, among other things, such person acted in good faith and with a view to the best interests of SCANA and, with respect to any criminal proceeding, had no reasonable grounds for believing that person's conduct was unlawful. The indemnification agreements also provide for payment for or reimbursement of reasonable expenses incurred by an indemnitee who is a party to a proceeding in advance of final disposition of the proceeding under certain circumstances.
The above description of the indemnification agreements is qualified in its entirety by reference to the form of indemnification agreement that was filed as Exhibit 10.01 to SCANA's Quarterly Report on Form 10-Q for the period ended June 30, 2012 and that is incorporated herein by reference.
