Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 7, 2016, Alicia Boler Davis was appointed to the Board of Directors of General Mills, Inc. (the "Company"). In connection with her appointment, the Board made the determination that Ms. Boler Davis qualifies as an independent director in accordance with the New York Stock Exchange Listing Standards. The Board has not yet determined Ms. Boler Davis' committee assignments.
Ms. Boler Davis' compensation for Board service is consistent with the arrangements described in the Company’s definitive proxy statement filed on August 15, 2016, under "Director Compensation," including a grant to Ms. Boler Davis of restricted stock units with a grant date fair value of approximately $180,000 at her first board meeting.
