Item 8.01. Other Events.
On November 6, 2016, The Cooper Companies, Inc. (the “Company”) issued a press release announcing that it has acquired Wallace, the in-vitro fertilization segment of Smiths Medical International, Ltd, a division of Smiths Group plc, for a purchase price of approximately $168 million, subject to customary closing adjustments. A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
