EXPLANATORY NOTE

This current report on Form 8-K/A amends and supplements the current report on Form 8-K filed by Lattice Semiconductor Corporation (“Lattice”, the “Company” or “we”) on November 3, 2016, to provide additional information in connection with the Company’s proposed acquisition by Canyon Bridge Acquisition Company, Inc. (“Parent”), which was previously announced on November 3, 2016.

Item 1.01. Entry into a Material Definitive Agreement.

The previously announced Agreement and Plan of Merger (the “Merger Agreement”), among Company, Parent and Canyon Bridge Merger Sub, Inc., dated November 3, 2016, does not require any antitrust filing or approval or any other filings or approvals by governmental authorities in the People’s Republic of China and no such filings are expected to be made.

Consummation of the Merger remains subject to certain customary closing conditions, including, without limitation, the absence of certain legal impediments, the expiration or termination of the required waiting periods under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, and review and clearance by the Committee on Foreign Investment in the United States.
