Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
             
On October 31, 2016, Ronald E. Talbot, Senior Vice President and Chief Operating Officer (principal operating officer) of PNM Resources, Inc. (“PNMR”), Public Service Company of New Mexico (“PNM”), and Texas-New Mexico Power Company (“TNMP”, and together with PNMR and PNM, the “Company”), notified the Company that he is resigning as an officer of the Company and as a director of PNM and TNMP effective January 3, 2017. The Company intends to eliminate Mr. Talbot’s position and will reassign his duties.
