(d)            Election of Director
On October 26, 2016, Ms. Erin A. Matts was elected as a Director of Interface, Inc.  Ms. Matts is the North America Chief Executive Officer of Annalect, Inc., a provider of data driven marketing strategy.   (Annalect, Inc. is a division of Omnicom Media Group, which in turn is a division of Omnicom Group Inc.)  Ms. Matts was elected by the Board of Directors to fill a vacancy created by an increase in the number of Directors from 9 to 10, and Ms. Matts will serve until the next election of Directors by the shareholders and until the election and qualification of her successor.  Ms. Matts was nominated for the position by the Nominating Committee of the Board of Directors after a selection process.
