Item 8.01 Other Events
On November 1, 2016, BNC Bancorp (the “Company”) issued a press release announcing the completion of the merger on November 1, 2016 of High Point Bank Corporation (“HPTB”) with and into the Company, and High Point Bank and Trust Company, a wholly-owned subsidiary of HPTB, with and into Bank of North Carolina, a wholly-owned subsidiary of the Company, pursuant to the terms and conditions of the Agreement and Plan of Merger, dated November 13, 2015, by and between HPTB and the Company.
A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
