Item 8.01. Other Events.

 

On October 31, 2016, Baker Hughes Incorporated (“Baker Hughes”) and General Electric Company (“GE”) issued a joint press release announcing the entry into a Transaction Agreement and Plan of Merger, dated October 30, 2016 (the “Transaction Agreement”), among GE, BHI, Bear Newco, Inc. (“Newco”), a Delaware corporation, and Bear MergerSub, Inc., a Delaware corporation, pursuant to which GE will combine its Oil & Gas business with BHI into Newco, which will be a new, publicly traded company. Upon the terms and subject to the conditions set forth in the Transaction Agreement, which has been approved by each of the boards of directors of GE and Baker Hughes, GE will contribute to the new company (in addition to its Oil & Gas business) $7.4 billion, and Baker Hughes shareholders prior to closing will receive a special one-time cash dividend of $17.50 per share. Upon completion of the transaction, GE will own approximately 62.5% and existing Baker Hughes shareholders will own approximately 37.5% of NewCo. The transaction is subject to the approval of Baker Hughes shareholders, regulatory approvals and other customary closing conditions.
