Item 5.02                                           Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On October 27, 2016, EQT Corporation (the Company) announced that David L. Porges, Chief Executive Officer (CEO) and Chairman of the Board, will retire from his duties as CEO in the first quarter of 2017, following the filing of the Company’s Form 10-K.  Mr. Porges notified the Company of his intent to retire on October 24, 2016.  Steven T. Schlotterbeck, currently the Company’s President and President, Exploration and Production, will become CEO.  To ensure a smooth transition, Mr. Porges will remain as Chairman of the Company’s Board of Directors for one year following his retirement as CEO.

On October 27, 2016, the Company issued a news release with respect to the matter described above, a copy of which is furnished with this Form 8-K as Exhibit 99.1 and incorporated into this Item 7.01 by reference.
