Item 1.01. Entry into a Material Definitive Agreement.
On September 22, 2016, the Board of Directors of Heidrick & Struggles International, Inc. (“Heidrick & Struggles”) amended and restated the Heidrick & Struggles Non-Employee Directors’ Voluntary Deferred Compensation Plan effective as of September 30, 2016 (the “Directors’ VDC Plan”). A copy of the Directors’ VDC Plan is being furnished as an exhibit to this Report on Form 8-K and is incorporated herein by reference.
The amendments to the Directors’ VDC Plan permit directors to elect in-service distributions and to receive installment payments only with respect to new contributions made after the date of the amendment and restatement. Previously, in-service distributions and installment payments were not permitted under the Directors’ VDC Plan.
