(d) On September 30, 2016, the Board of Directors of The Bank of New York Mellon Corporation (the “Company”) elected Elizabeth Robinson as an independent member of the Company’s Board of Directors, effective October 3, 2016. Ms. Robinson has also been elected to serve on the Company’s Finance and Risk Committees. With the election of Ms. Robinson, the Company’s Board now consists of 12 directors.
Ms. Robinson will receive customary compensation from the Company for serving as a director in accordance with the non-management director compensation program as described in the Company’s Definitive Proxy Statement dated March 11, 2016.
A copy of the Company’s press release relating to Ms. Robinson’s election as a director is attached as Exhibit 99.1 to this Current Report on Form 8-K.
