On September 30, 2016, John Elkann notified the Board of Directors (the "Board") of News Corporation (the "Company") of his resignation from the Board, effective immediately. Mr. Elkann's resignation from the Board is in connection with his other commitments and is not due to any disagreement with the Company. As a result, the size of the Board was reduced to 11 Directors, effective upon Mr. Elkann's resignation. The Board is actively engaged in a process of considering additional independent Director candidates.
