Item 2.02 Results of Operations and Financial Condition.

 

On September 28, 2016, Full Circle Capital Corporation issued a press release announcing its financial results for the quarter and year ended June 30, 2016. The text of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

Item 8.01    Other Events.

 

On September 27, 2016, the board of directors of the Company established a revised meeting date of October 31, 2016 for its special meeting of stockholders to be held with respect to the Company's proposed merger with and into Great Elm Capital Corp. ("GECC"). The merger is to be completed on the terms and subject to the conditions set forth in the merger agreement, dated as of June 23, 2016, between the Company and GECC.
