Item 8.01 Other Events.
As previously disclosed in our Current Report on Form 8-K filed on May 20, 2016, on May 16, 2016, Digital Realty Trust, Inc., a Maryland corporation (the “Company,” “we,” “us,” or “our”) entered into forward sale agreements with each of Bank of America, N.A., Citibank N.A. and JPMorgan Chase Bank, N.A., London Branch (collectively, the “Forward Counterparties”). On September 27, 2016, we physically settled a portion of the forward sale agreements by issuing an aggregate of 12,000,000 shares of our common stock to the Forward Counterparties in exchange for net proceeds of approximately $1.1 billion. Following such settlement, 2,375,000 shares of our common stock remain subject to the forward sale agreements.
