Item 8.01 Other Events.
On September 27, 2016, Moody National REIT I, Inc. (“REIT I”) and Moody National REIT II, Inc. (“REIT II”) issued a joint press release announcing that they had entered into a non-binding Letter of Intent that sets forth the terms and conditions upon which REIT II proposes to acquire REIT I and its subsidiaries. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
