Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 22, 2016, Janice O’Reilly, the Chief Financial Officer and Treasurer of TechTarget, Inc. (the “Company”), notified the Chief Executive Officer of the Company of her resignation, effective on the earlier of December 31, 2016 or the appointment of a new Chief Financial Officer. Ms. O’Reilly has agreed to remain with the Company until December 31, 2016 to assist with the transition. O’Reilly may continue to provide services to the Company after December 31, 2016 by mutual agreement.
Item 7.01 Regulation FD Disclosure.
On September 26, 2016, the Company issued a press release announcing the resignation of Ms. O’Reilly. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
