Item 5.02 – DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS

On September 13, 2016, the Company accepted the resignation of Mr. Randall Smith, from his position as Chief Financial Officer (“CFO”) with the Company. It is the Company’s understanding that his resignation was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. The Company has appointed Mr. Comery as the interim CFO until the Company can find a full time replacement for Mr. Smith.
