Item 3.02. Unregistered Sales of Equity Securities
On August 29, 2016, the sole director accepted an offer to convert $165,500 of the existing indebtedness due to Robert DeAngelis and cancel 60,000 of his shares of common stock in exchange for the issuance to him of 50,935 shares of the Company’s newly designated Series A Preferred Shares.
Upon cancellation of the 60,000 shares, there will be a total of 48,179 shares of common stock outstanding.
