Item 1.01 Entry into a Material Definitive Agreement.
On August 10, 2016, the Registrant and ORR Safety Corporation entered into an Agreement in Principal to settle the suit filed by the Registrant on September 28, 2015 in the District Court of Dallas County, Texas. The parties will cooperate in the negotiation and execution of a long-form agreement detailing the settlement terms addressed in the Agreement in Principal. Under the terms of the settlement ORR will continue to be an important distributor of KONG gloves, but the Registrant can sell KONG gloves through any other distribution channel.
