ITEM 8.01 Other Events.
On August 11, 2016, Regions Financial Corporation (“Regions”) commenced a cash tender offer for any and all of Regions' outstanding 2.00% Senior Notes due 2018, subject to certain limitations. A copy of the press release announcing the tender officer is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
