Item 5.02. Departure of Directors or Certain Officers; Election of Officers; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On July 7, 2016, Karen K. Pepping tendered her resignation as the principal accounting officer of Heidrick & Struggles International, Inc. (“Heidrick & Struggles” or the “Company”), with such resignation effective on July 29, 2016. Ms. Pepping’s departure is not due to a dispute or disagreement with the Company.
On July 29, 2016, the Company appointed Stephen Bondi, age 56, as the interim principal accounting officer. Mr. Bondi currently serves as the Vice President of Tax and Accounting. Mr. Bondi joined the Company in March of 2011 as the Director of Worldwide Tax. He was appointed to his current role of Vice President of Tax and Accounting in January 2015.
