Item 8.01 Other Events.

On July 25, 2016, Yahoo! Inc. (“Yahoo”) held an investor call concerning the proposed sale of Yahoo’s operating business. The call was hosted by Yahoo CEO Marissa Mayer and Yahoo CFO Ken Goldman. Yahoo also made the Chair of its Strategic Review Committee, Tom McInerney, and Yahoo Chairman of the Board, Maynard Webb, available for questions. A transcript of the call is attached as Exhibit 99.1 and incorporated herein by reference.
