Item 8.01 Other Events.
On July 21, 2016, Aetna Inc. (“Aetna”) and Humana Inc. (“Humana”) issued a joint press release disclosing that the U.S. Department of Justice had filed a lawsuit seeking to block Aetna’s proposed acquisition of Humana. A copy of the joint press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
