Item 8.01 Other Events.

As previously disclosed, on August 3, 2015, Alpha Natural Resources, Inc. (the “Company”) and certain of its direct and indirect subsidiaries (collectively, the “Debtors”) filed voluntary petitions in the United States Bankruptcy Court for the Eastern District of Virginia (the “Bankruptcy Court”) for reorganization relief under the provisions of Chapter 11 of Title 11 of the United States Code. The Debtors’ Chapter 11 cases are being jointly administered under the caption In re: Alpha Natural Resources, Inc., et al., Case No. 15-33896. Also as previously disclosed, on June 22, 2016, the Debtors filed with the Bankruptcy Court syndication procedures pursuant to which certain holders of the Company’s second lien notes were afforded the opportunity, expiring 5:00 P.M., New York City time, on July 20, 2016, to subscribe to provide financing as lenders under the NewCo ABL facility. The expiration time for the opportunity to subscribe to provide financing as lenders under the NewCo ABL Facility has been extended to 5:00 P.M., New York City time, on July 28, 2016 (the “Expiration Time”); however, the opportunity to subscribe to the NewCo ABL Facility will only be available to holders of the Company’s second lien notes who are beneficial owners of the second lien notes as of the earlier of the Expiration Time and the effective date of the Debtors’ plan of reorganization.
