Item 2.05
Costs Associated with Exit or Disposal Activities

PSE has a 50% ownership interest in Colstrip Units 1 and 2, and a 25% interest in Colstrip Units 3 and 4. On March 6, 2013, the Sierra Club and the Montana Environmental Information Center filed a Clean Air Act citizen suit against all Colstrip owners in the U.S. District Court, District of Montana. On July 12, 2016, PSE, together with all other owners of the Colstrip Units, reached a settlement to dismiss all of the Clean Air Act allegations against the Colstrip Generating Station. As part of the settlement, PSE has agreed, along with Talen Energy, the independent power producer that owns the other 50% of Colstrip Units 1 and 2, to retire Units 1 and 2 by no later than July 1, 2022. Allegations in the lawsuit against Units 3 and 4 are dismissed as part of the settlement, and these units will remain in operation.

PSE is not able to determine the shutdown costs of Colstrip Units 1 and 2 at this time.
