ITEM 8.01. OTHER EVENTS
On July 11, 2016, Gencor Industries, Inc. issued a press release, a copy of which is attached hereto as Exhibit 99.1 and incorporated by reference, announcing that its Board of Directors has approved a three-for-two split of the Company’s Common and Class B stock, to be effected in the form of a 50% stock dividend. The shares will be payable on August 1, 2016, to shareholders of record as of July 22, 2016.
