Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As previously disclosed by the registrant, Kit Carson Electric Cooperative, Inc. withdrew from membership in the registrant, effective June 30, 2016.  In connection with such withdrawal, Arthur Rodarte ceased to be a member of the Board of Directors.

On June 30, 2016, we received from our member, Mora-San Miguel Electric Cooperative, Inc., as required by our bylaws, certification that such member has elected Robert Baca to replace Virginia Mondragon as the director representing such member on our Board of Directors.  Mr. Baca will serve on the External Affairs-Member Relations Committee.
