On June 29, 2016, Medical Transcription Billing, Corp. (the “Company” or MTBC) filed an amendment to its amended and restated certificate of incorporation with the Secretary of State of the State of Delaware, increasing the number of authorized shares of the Company's preferred stock from one million shares to two million shares. This amendment was approved by the Company's board of directors and stockholders.
The foregoing description of the amendment is qualified by reference to the amendment, a copy of which is attached hereto as Exhibit 3.1 and is incorporated herein by reference.
