Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
As previously announced, John Hartley’s departure as CFO from Science Applications International Corporation (the “Company”) will become effective on June 30, 2016. In connection with Mr. Hartley’s departure, the Board of Directors of the Company has appointed Maria M. Bishop to serve in the positions of interim Chief Financial Officer, interim principal accounting officer and interim principal financial officer, effective July 1, 2016.
Ms. Bishop, age 53, has served as Controller at the Company since September 2013. Previously, she served as the Director of Financial Planning & Analysis from 2008 until September 2013. She has been an employee of the Company since 1998.
As previously announced, the Company’s Board of Directors is conducting a search for its next Chief Financial Officer.
A copy of the press release announcing Ms. Bishop’s appointment is attached as Exhibit 99.1 hereto and incorporated by reference herein.
