Frank H. Sanfilippo, Executive Vice President and Chief Operating Officer of Enterprise Financial Services Corp (the “Company”), will leave the Company effective June 30, 2016. Mr. Sanfilippo's current responsibilities will be assumed by the remaining executive officers and other management personnel.
The Company expects to enter into a separation agreement with Mr. Sanfilippo (the “Separation Agreement”) pursuant to which he would be paid the amounts to which he is otherwise entitled under his executive employment agreement. Additional information is described under the heading “Executive Employment Agreement with Mr. Sanfilippo” on page 23 in the Company’s Proxy Statement for its 2016 Annual Meeting of Stockholders and incorporated herein by reference.
