On June 16, 2016, Energy Fuels Inc. (the “Company”) issued 4,551,284 common shares pursuant to the closing of a Membership Interest Purchase Agreement, as more fully described in Item 1.01 of the Company’s Current Report on Form 8-K, filed with the United States Securities and Exchange Commission on March 8, 2016 (SEC Accession No. 0001062993-16-008208), which is incorporated by reference into this Item 3.02.

The common shares were issued in reliance upon the exemption from the registration requirements of the United States Securities Act of 1933, as amended, pursuant to Section 4(a)(2) thereof.
