Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers Compensatory Arrangements of Certain Officers.

 
On June 14, 2016, FuelCell Energy, Inc. (the “Company”) received notification of Paul F. Browning's resignation as a member of the Company’s Board of Directors effective immediately. Mr. Browning's resignation letter noted that his decision was due to increasing responsibilities and commitments at his current employer, where he was hired as President and Chief Executive Officer in April 2016. Mr. Browning, age 48, became a member of the Board of Directors in 2015. Mr. Browning was a member of the Compensation Committee and Government Affairs Committee of the Company.
The Board accepted Mr. Browning’s resignation.
