Item 8.01 Other Events.

On June 10, 2016, Axiall Corporation (the “Company”) and Westlake Chemical Corporation (“Westlake”) published a joint press release announcing that they had entered into an Agreement and Plan of Merger (the “Merger Agreement”), dated June 10, 2016, by and among the Company, Westlake and Lagoon Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of Westlake (“Merger Sub”), pursuant to which Merger Sub will be merged with and into the Company on the terms and subject to the conditions set forth in the Merger Agreement (the “Merger”). Company stockholders will receive $33.00 per share in cash. As a result of the Merger, the Company will become a wholly owned subsidiary of Westlake.

The internal email announcement to Company employees, the related employee FAQs and the sales and customer service FAQs used in connection with the announcement of the Merger are furnished as Exhibits 99.2, 99.3 and 99.4 respectively, to this Current Report on Form 8-K and are incorporated by reference herein.

Westlake has withdrawn its director nominations for the Company’s 2016 annual meeting of stockholders, which is scheduled to take place on June 17, 2016. Westlake has also agreed to take all actions necessary to terminate and/or withdraw its proxy materials.
