On June 9, 2016, J. C. Penney Company, Inc. issued a press release announcing that its wholly-owned subsidiary, J. C. Penney Corporation, Inc., had priced its previously announced private offering of $500 million aggregate principal amount of 5.875% Senior Secured Notes due 2023. A copy of the press release is filed herewith as Exhibit 99.1 and is incorporated herein by reference.
