Item 2.02. Results of Operations and Financial Condition.
On June 7, 2016, PriceSmart, Inc. issued a press release regarding its sales for the month of May 2016 and its plans to release third quarter 2016 financial results on Thursday, July 7, 2016, after the market closes and to host a conference call at 12:00 p.m. Eastern time (9:00 a.m. Pacific time) on Friday July 8, 2016, to discuss the financial results for the quarter ending May 31, 2016. A copy of the press release is furnished herewith as Exhibit 99.1. Pursuant to the rules and regulations of the Securities and Exchange Commission, such exhibit and the information set forth therein and herein shall be deemed “furnished” and not “filed” for purpose of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to liability under that section.
