Apple Hospitality REIT, Inc. (the “Company”) is filing this report in accordance with Item 8.01 of Form 8-K.

Item 8.01. Other Events.

Under the previously announced Agreement and Plan of Merger (the “Merger Agreement”) entered into on April 13, 2016, among the Company, Apple REIT Ten, Inc. (“Apple Ten”) and 34 Consolidated, Inc., a wholly-owned subsidiary of the Company, Apple Ten and its subsidiaries and representatives had the right to initiate, solicit, provide information and enter into discussions concerning alternative acquisition proposals from April 13, 2016 until 11:59 p.m. ET on May 28, 2016 (the “Go Shop Period”).

On June 6, 2016, Apple Ten disclosed that during the Go Shop Period, at the direction of the special committee of the board of directors of Apple Ten, Citigroup Global Markets Inc. (“Citi”), as financial advisor to such special committee, contacted 54 third parties (including 17 potential strategic buyers and 37 potential financial buyers), ten of which executed confidentiality agreements with Apple Ten.  None of the third parties contacted by Citi provided Apple Ten with a proposal or offer regarding an alternative acquisition proposal.

Starting at 12:00 a.m. ET on May 29, 2016, Apple Ten became subject to customary “no shop” provisions that limit its ability to solicit, but not its ability to receive unsolicited, alternative acquisition proposals from third parties or to provide confidential information to third parties, subject to customary “fiduciary out” provisions.

The transaction is expected to close in the third quarter of 2016, subject to the approval by the shareholders of both companies, receipt of certain third party consents and approvals and satisfaction of other customary closing conditions.
