Item 7.01 Regulation FD Disclosure.
Majesco Limited (“Majesco Ltd.”), the owner of approximately 70% of the shares of common stock of Majesco, announced on May 28, 2016 that its board of directors has approved plans to raise Rs 250 crore (approximately $37.16 million at the exchange rate in effect on May 31, 2016) of financing by way of a Qualified Institutional Placement (QIP) of its shares to qualified institutional buyers in India and outside of India. Majesco Ltd announced that it intends to use the proceeds from this offering for repayment of debt, working capital and other corporate purposes, including to fund acquisitions. The offering is subject to approval of the shareholders of Majesco Ltd, other approvals and market conditions.
