Item 5.02 - Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 13, 2016, Mr. Martin B. Davis was appointed as a member of the Board of Directors of South State Corporation (“SSB”). Mr. Davis will initially serve on the Risk and Audit Committees of SSB. He currently serves as executive vice president of Southern Company Services and chief information officer of Southern Company. Mr. Davis has spent nearly 30 years leading complex technology organizations in highly regulated environments, including the utility industry and the financial services industry. A copy of the Corporation's press release is attached as Exhibit 99.1 to this report and incorporated herein by reference.
