Item 7.01 Regulation FD Disclosure.
On May 10, 2016 Energizer Holdings, Inc. (the "Company") announced that its Board of Directors declared a quarterly dividend of twenty-five cents ($0.25) per share on its Common Stock, payable on June 20, 2016 to all shareholders of record as of the close of business on May 31, 2016. A copy of the press release announcing the dividend declaration is attached hereto as Exhibit 99.1 and incorporated by reference herein.
