Item 2.02. Results of Operations and Financial Condition.
On May 5, 2016, VEREIT, Inc. (the “Company”) furnished a press release relating to its first quarter 2016 financial results. The Company is filing this Amendment No. 1 to Form 8-K for the sole purpose of making two corrections to the press release furnished with the original Form 8-K. The Company revised the press release to change (i) the average cash cap rate presented in the second bullet point under “First Quarter 2016 Highlights” from 6.1% to 6.3% (which was correctly stated as 6.3% on page 3 of the original press release) and (ii) Cole Capital’s equity raised in April from $60.8 million to $60.5 million (which was correctly presented on page 3 of the original press release). The corrected press release is attached hereto as Exhibit 99.1. The press release, as corrected, is furnished herewith as Exhibit 99.1. Except as specifically described herein, there are no other changes or modifications to the press release or the original Form 8-K.
