Item 2.02. Results of Operations and Financial Condition.

On April 28, 2016, Park Sterling Corporation (“Park Sterling”) announced its financial results for the first quarter ended March 31, 2016.  A copy of the related press release is furnished as Exhibit 99.1. The information included herein, as well as Exhibit 99.1 referenced herein, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), nor shall it be deemed incorporated by reference in filings under the Securities Act of 1933, as amended (the “Securities Act”).

Item 7.01. Regulation FD Disclosure.

On April 28, 2016, Park Sterling will hold an investor conference call to disclose its financial results for the first quarter ended March 31, 2016. A copy of the slide package prepared for use by executive management for this presentation is furnished as Exhibit 99.2. All of the information in the presentation is presented as of April 28, 2016, and Park Sterling does not assume any obligation to update such information in the future.

Item 8.01. Other Events.

Dividend

On April 27, 2016, Park Sterling issued a press release announcing that its board of directors (“Board”) declared a quarterly cash dividend to its common shareholders of $0.03 per common share, payable on May 24, 2016 to all common shareholders of record as of the close of business on May 10, 2016. Future dividends will be subject to Board approval. A copy of the press release is attached as Exhibit 99.3 and is incorporated herein by reference.
