On April 28, 2016, Investors Bancorp, Inc. (the “Company”) issued a press release reporting its financial results for the first quarter ended March 31, 2016. A copy of the press release is attached as Exhibit 99.1 to this report and is being furnished to the SEC and shall not be deemed “filed” for any purpose.

On April 28, 2016, the Company announced its Board of Directors declared its quarterly cash dividend of $0.06 per share. This announcement was included as part of the press release announcing financial results for the quarter ended March 31, 2016 issued by the Company on April 28, 2016. A copy of the press release is attached as Exhibit 99.1 to this report and is being furnished to the SEC and shall not be deemed “filed” for any purpose.

On April 28, 2016, the Company announced that its Board of Directors approved the third share repurchase program which authorizes the repurchase of an additional 10% of the Company's outstanding shares of common stock, or approximately 31 million shares. The new repurchase program will commence immediately upon completion of the second repurchase plan.
